Welcome to Impact Audio Pro! These Terms of Service ("Terms") govern your use of the website impactaudiopro.shop and the podcast production services offered by Impact Audio Pro ("Service"). By accessing or using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms: By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
2. Services: Impact Audio Pro provides professional podcast production services including but not limited to audio editing, mixing, mastering, sound design, and strategic consulting. Specific details of services, deliverables, and timelines will be outlined in a separate project agreement or proposal.
3. Client Responsibilities: You agree to provide all necessary materials (e.g., raw audio files, scripts, music licenses) in a timely manner as requested by Impact Audio Pro. You are responsible for the legality and intellectual property rights of all content you provide for production.
4. Payment: Fees for services will be agreed upon prior to project commencement. Payment schedules and methods will be detailed in your project agreement. All payments are due as specified in the invoice. Failure to make timely payments may result in suspension or termination of services.
5. Intellectual Property: You retain all intellectual property rights to your original content provided for podcast production. Impact Audio Pro retains intellectual property rights over its proprietary methods, tools, and any custom sound effects or music created by us for which specific licensing terms will apply. Upon full payment, you will receive appropriate licenses for the final produced audio.
6. Confidentiality: Both parties agree to keep confidential any proprietary information disclosed during the course of the service engagement.
7. Limitation of Liability: Impact Audio Pro will not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
8. Governing Law: These Terms shall be governed and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.
9. Changes to Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
